If selected, you will serve as the Legal Branch Chief responsible for a broad range of assignments in the Disclosure Review Program – Office of Trade and Services.
- Serves as a supervisor and senior legal adviser for the Division of Corporation Finance managing the activities of the assigned office.
- Performs extensive review of statutes, regulations, and disclosure documents related to publicly held companies and renders comprehensive legal advice and assistance.
- Provides guidance on and addresses a wide range of questions related to the statutes administered by the program such as securities registrations; annual and quarterly filings; proxy materials; sales literature; prospectuses; no-action letters; rule proposals; and rule adoption.
- Develops guidance and advice on new trends in corporation finance, new marketing or financial techniques, and interpretation of legislation and regulatory developments and their possible effects on missions and programs.
- Performs the administrative and human resource management functions relative to the staff supervised including: plans, schedules, and assigns work to staff; establishes guidelines and performance expectations for staff members; provides feedback; periodically evaluates employee performance; oversee training and development of staff; manages time and attendance; and carries out Equal Employment Opportunity (EEO) policies and program activities.

BASIC REQUIREMENT: All applicants must possess the following
- J.D. or LL.B. degree –AND–
- Active membership of the bar in good standing in any state, territory of the United States, the District of Columbia, or the commonwealth of Puerto Rico. (Note: proof of bar membership will be required before entry on duty.
MINIMUM QUALIFICATION REQUIREMENT: In addition to meeting the basic requirement, applicants must also meet the minimum qualification requirement.
SK-15: Applicant must have three (3) years of post J.D. work experience identifying legal issues, providing legal analyses, providing legal solutions/recommendations, and preparing legal documents, which also includes at least two (2) years of specialized experience: 1) independently preparing or reviewing public company SEC filings; 2) conducting second level reviews of filings; 3) providing legal advice regarding the application of the Securities Act of 1933 and/or Exchange Act of 1934; and/or 4) recommending the resolution of disclosure reporting issues.
